01 Parties and Subject
This Distance Sales Contract (the "Contract") is concluded under Law No. 6502 on Consumer Protection and the Distance Contracts Regulation (Mesafeli Sözleşmeler Yönetmeliği) between the SELLER identified below and the BUYER who electronically orders a subscription (a digital service) through app.lop.tools, on the terms set out below.
The subject of this Contract is the provision of the digital software subscription purchased electronically by the BUYER through the SELLER's LOP platform — its characteristics and price as set out below — and the determination of the parties' rights and obligations under Law No. 6502 and the Distance Contracts Regulation.
By accepting this Contract, the BUYER acknowledges and agrees in advance that, upon confirming the order, they undertake to pay the subscription fee and any applicable taxes, and that they have been informed accordingly.
LOP is the provision of a cloud-based software service (SaaS) by subscription, not a physical product. This Contract, together with the SELLER's Terms of Service and Privacy Policy, forms a single integrated agreement; the details of subscription, billing, renewal, and termination are set out in the Terms of Service.

05 Service, Price, and Payment
5.1. The essential characteristics of the Service and the scope of subscription plans (including plan limits) are published at lop.tools/pricing. Listed and published prices are the valid sale prices until updated.
5.2. Prices are displayed in the currency published on the pricing page. Payments with cards issued in Türkiye are collected in Turkish Lira (TRY), and displayed amounts include 20% VAT (KDV). Sales to customers established outside Türkiye are VAT-exempt as an export of services and are collected in US Dollars (USD).
5.3. Payments are collected electronically through iyzico. Card details are collected by the processor; the SELLER stores billing contact details, payment records and provider references.
5.4. Billing cycles, auto-renewal, plan changes, and failed-payment handling are governed by Terms of Service §5. The BUYER authorizes the subscription fee to be charged to the selected payment method on each renewal; the BUYER is notified by email before renewal and may cancel via Settings → Billing.
5.5. Additional user seats may be added to paid plans. The per-seat charge is shown clearly at the time of purchase, by plan and billing cycle. Mid-period seat changes do not alter the current period's charge; they take effect from the next renewal. A scheduled seat change may be cancelled free of charge before it takes effect.
5.6. Annual price review (TRY-billed subscriptions). Prices for subscriptions billed in Turkish Lira are derived from the USD reference price of each pricing component published on the pricing page.
For a new subscription, the TRY price is calculated using the USD foreign exchange selling rate (döviz satış kuru) of the Central Bank of the Republic of Türkiye (TCMB) available on the 7th day of the month, as set out in Terms of Service §5.8.3. The price accepted at checkout does not change from one billing period to the next.
Once a year, on 3 December, the TRY price of each pricing component of an existing subscription is recalculated. The calculation uses its USD reference price and the average TCMB USD foreign exchange selling rate of the five most recent TCMB business days. The result is rounded down to the nearest TRY 100 and is never lower than the current price (Terms of Service §5.8). No inflation index is applied.
Any resulting price change applies only from your first renewal on or after 7 January for which at least thirty (30) days' individual notice has been given. No change applies within a period you have already paid for or committed to. The notice is given on a durable medium (e-mail and in-app notice). It restates the new price and your right to cancel free of charge before that renewal, with access continuing to the end of your current paid period.
06 Delivery and Returns
6.1. Delivery
The Service is a digital software service, not a physically delivered product. Upon confirmation of payment, the BUYER's subscription is activated immediately, and the BUYER gains access to the features of the purchased plan through app.lop.tools. There is no physical shipment, carrier, or delivery time, and no shipping fee is charged.
6.2. Returns and Refunds
Because the Service is a subscription, "returns" are governed by the refund terms set out in Terms of Service §5.5:
- Upon cancellation, no further charges are made; your access to the Service continues to the end of the period you have paid for and ends at that time. Cancellation does not give rise to automatic or pro-rated (partial-period) refunds. Your rights under mandatory law remain unaffected.
- Monthly subscriptions: No refund is provided for the current billing period; cancellation takes effect at the end of the current period.
- Refunds are processed within 5–10 business days after approval. For any billing matter, contact billing@lop.tools.
07 Right of Withdrawal
7.1. Subject to statutory exceptions, a BUYER who qualifies as a consumer has the right to withdraw from this Contract within fourteen days from the date of its conclusion, without giving any reason and without incurring any contractual penalty.
7.2. At the time of purchase, the BUYER is informed that provision of the Service may commence before the withdrawal period expires and of the effect this has on the right of withdrawal. By giving consent during the purchase process, the BUYER requests that provision of the Service commence before that period expires. If provision of the Service commences pursuant to this consent, the right of withdrawal may not be exercised under Article 15(1)(h) of the Distance Contracts Regulation.
7.3. The contractual options for preventing renewal of the subscription for subsequent periods are set out in Article 6.2 of this Contract and Section 5.5 of the Terms of Service. These provisions do not restrict the consumer’s statutory rights to termination and reimbursement.
7.4. The unavailability of the right of withdrawal does not extinguish any rights arising from a failure to provide the Service, its provision otherwise than in accordance with the Contract, or defects in the Service. The consumer’s rights under Law No. 6502, applicable subscription legislation and other mandatory provisions are reserved. In the event of a conflict with the terms of this Contract, those mandatory provisions shall prevail.
08 Default
Where the BUYER pays by credit card and falls into default, the BUYER agrees to pay interest and be liable to the bank under the agreement between the cardholder and their bank. The process applicable to failed payments is governed by Terms of Service §5.7.
09 Dispute Resolution and Competent Court
9.1. This Contract is governed by the laws of the Republic of Türkiye.
9.2. Where the BUYER is a consumer, Consumer Arbitration Committees (at the BUYER's or SELLER's place of residence) have jurisdiction up to the value announced by the Ministry of Trade, and Consumer Courts above that value.
9.3. Where the BUYER is not a consumer (commercial/professional purpose), the courts and enforcement offices of Ankara have jurisdiction per Terms of Service §17.
9.4. The consumer-protection and severability provisions of Terms of Service §18.1 apply to this Contract.
10 Effect
When the BUYER completes payment for the subscription order placed through the Platform, the BUYER declares that they have read, understood, and accepted all terms of this Contract. The Contract takes effect at the moment payment is confirmed.
