05 Subscriptions and Billing
5.1 Pricing
All pricing for the Service is listed at lop.tools/pricing. Prices are displayed in the currency published on the pricing page. Payments with cards issued in Türkiye are collected in Turkish Lira (TRY), and displayed amounts include 20% VAT (KDV). Sales to customers established outside Türkiye are VAT-exempt as an export of services and are collected in US Dollars (USD).
5.2 Payment Processors
- Turkish customers: Payments processed via iyzico.
- International customers: Payments are also processed via iyzico. Additional payment methods may be introduced over time; for billing questions, contact billing@lop.tools.
Card details are collected by the payment processor. LOP stores billing contact details, subscription and payment records, and provider references.
5.3 Billing Cycles
- Monthly subscriptions: Charged on the same calendar day each month
- Annual billing is available for subscription plans where an annual payment option is shown on the Pricing page. Unless otherwise expressly stated at checkout, the annual subscription price may be offered at a discount compared with the total of twelve (12) monthly subscription payments for the relevant plan.
Billing periods are calculated from the date of initial subscription activation.
5.3A Annual Subscription and Commitment Terms
Annual billing is available for subscription plans where an annual payment option is shown on the Pricing page. Unless otherwise expressly stated at checkout, the annual subscription price may be offered at a discount compared with the total of twelve (12) monthly subscription payments for the relevant plan.
5.3A.1 Business and Professional Customers
A subscription purchased by or on behalf of a company, sole proprietorship, freelancer or other business undertaking, or for commercial or professional purposes, is treated as a commercial or professional subscription.
Unless otherwise agreed, annual subscriptions purchased for commercial or professional purposes are billed in advance for each annual billing period.
The subscription renews in accordance with Section 5.4 of this Contract unless duly cancelled before the applicable renewal date.
An annual price adjustment or commercial price revision takes effect only from the first eligible renewal after the relevant notice period has expired.
No price increase may apply retrospectively or to a billing period that has already been paid for or commenced.
5.3A.2 Consumer Annual Commitment
Where a natural or legal person qualifying as a consumer under Law No. 6502 on Consumer Protection selects a discounted annual subscription, the discount may be offered in exchange for a twelve-month subscription commitment ("Annual Commitment").
Before an Annual Commitment is entered into, LOP shall provide the consumer, in writing or on a durable medium as defined by law, with at least the following information:
a) the commitment period,
b) the essential characteristics of the service covered by the commitment,
c) the total commitment price including all taxes,
d) the comparable subscription or tariff price applicable without a commitment,
e) the monthly and/or total discount, benefit or other economic advantage provided to the consumer,
f) the method of calculating any amount that may lawfully be claimed from the consumer upon early termination of the commitment.
The commitment document forms an integral part of the subscription contract and shall be delivered to the consumer on a durable medium.
During an active Annual Commitment, the terms of the contract and the commitment document may not be changed to the consumer's detriment.
Any early-termination or commitment-breakage amount claimed by LOP when a consumer terminates an Annual Commitment before its expiry shall be calculated in accordance with applicable mandatory law.
Where required by law, the amount recoverable from the consumer shall not exceed the amount more favourable to the consumer, namely the lower of:
(a) the discounts, benefits or other advantages actually provided to the consumer up to the effective termination date; or
(b) the charges that would otherwise have become payable for the remainder of the commitment period.
Any unused prepaid balance remaining after any lawful set-off or early-termination amount shall be refunded within the period required by applicable mandatory law.
The expiry of an Annual Commitment does not automatically create a new twelve-month commitment for the consumer.
Where the law requires a further request or consent from the consumer for a new discounted commitment period, the new commitment may be entered into only with the consumer's affirmative acceptance.
5.4 Renewal
5.4.1 Monthly Subscriptions
Monthly paid subscriptions are continuing subscriptions billed monthly until cancelled.
By starting a paid subscription, the subscriber authorizes the subscription fee to be collected from the selected payment method on the applicable renewal date, to the extent permitted by applicable law.
Monthly subscriptions purchased for commercial or professional purposes may be cancelled through Settings → Billing. Unless expressly stated otherwise, cancellation prevents future renewal charges and access continues through the current paid billing period.
For subscribers who qualify as consumers, the termination request and its consequences are governed by Law No. 6502, the Subscription Contracts Regulation and other applicable mandatory law. Any shorter termination period, reimbursement or other rights granted to the consumer by law remain unaffected.
5.4.2 Annual Business Subscriptions
Annual subscriptions purchased for commercial or professional purposes renew for successive annual billing periods unless cancelled before the applicable renewal date.
The price charged at renewal is the price properly applicable to that renewal under these Terms.
Subject to the required advance notice being given, the following:
a) an Annual TRY Price Review under Section 5.8; and/or
b) a Commercial Price Revision under Section 5.9
may be reflected in this amount.
The price of the current prepaid annual subscription period shall not be increased during that period.
5.4.3 Consumer Annual Commitments
Expiry of a consumer's Annual Commitment does not itself create a new twelve-month commitment.
Where the subscription relationship may lawfully continue after the commitment expires, the applicable post-commitment tariff, price, billing method and termination terms shall be communicated to the consumer clearly, comprehensibly and in accordance with the law.
Where no new Annual Commitment has been affirmatively accepted, the subscription may continue, where permitted by applicable law and where clearly disclosed before purchase, on the then-current non-commitment billing arrangement stated in the applicable subscription terms.
LOP will notify the consumer of the approaching end of the commitment and the terms that will apply afterwards within the periods and by the methods required by applicable law.
5.4.4 Renewal Notice
Where a renewal notice is required under this Contract or applicable law, LOP shall send the subscriber a renewal or payment notice by e-mail and/or another appropriate durable medium at least seven (7) days before the relevant renewal or collection date.
Where possible, the following:
a) the subscription plan,
b) the renewal date,
c) the billing period to be renewed,
d) the total amount to be collected,
e) applicable taxes,
f) a link to payment and billing settings,
g) the method of cancellation or termination
shall be stated in the notice.
5.5 Refunds
Upon cancellation, no further charges are made; your access to the Service continues to the end of the period you have paid for and ends at that time. Cancellation does not give rise to automatic or pro-rated (partial-period) refunds. Your rights under mandatory law remain unaffected.
- Monthly subscriptions: No refunds for the current billing period; cancellation takes effect at the end of the current period
- Refund processing: 5–10 business days after refund approval
- Disputes: Contact billing@lop.tools to discuss billing concerns. Initiating a chargeback before contacting us will result in account suspension pending resolution.
5.6 Plan Changes
5.6.1 Monthly subscriptions. You may change your plan at any time from the pricing page. Every accepted change takes effect at your next renewal date. Your renewal date never moves, and no partial-period charges or credits arise from a plan change. When you accept a change, we record the change, the disclosures you were shown, and its effective date.
5.6.2 Upgrades on monthly subscriptions. When you accept an upgrade, the features of the higher plan are made available to you immediately; the higher price is first charged at your next renewal. One such early feature grant is available per billing period. If you change your plan again within the same period, the early grant ends and your features revert to the plan you have paid for, until the change you last accepted takes effect.
5.6.3 Replacing or cancelling a scheduled change. Until its effective date, a scheduled change may be replaced by accepting a different change, or cancelled from your current plan, free of charge. Only the last accepted change applies.
5.6.4 Annual subscriptions. Annual billing is available on the Business plan only. Plan and billing-cycle changes are not available on an annual subscription. To leave an annual plan, cancel it; your access continues to the end of the period you have paid for.
5.6.5 No pro-rated charges and no automatic refunds arise from plan changes.
5.7 Failed Payments
If a payment fails, we will attempt to charge your payment method up to 3 times over a 7-day period. During this time:
| Period | Account State |
|---|---|
| Days 1–7 | Full access to all features (grace period) |
| Past-due access | Access follows billing status and plan limits; no separate export or deletion countdown is created. |
| Past-due access | Access follows billing status and plan limits; no separate export or deletion countdown is created. |
| Past-due access | Access follows billing status and plan limits; no separate export or deletion countdown is created. |
You can resolve a failed payment at any time by updating your payment method in Settings → Billing.
5.8 Annual Price Review — TRY-Billed Subscriptions
5.8.1 Purpose and Frequency
Subscription prices billed in Turkish Lira ("TRY") are derived from LOP's United States Dollar ("USD") reference prices.
An existing subscription’s TRY price is reviewed no more than once (1) per calendar year under the objective and foreseeable mechanism expressly described in this Section (the "Annual Price Review").
The Annual Price Review reflects only changes in the value of TRY against USD. It does not apply any consumer-price or other inflation index.
The Annual Price Review is separate from any Commercial Price Revision made under Section 5.9.
5.8.2 Annual Calculation Date
LOP will perform the Annual Price Review calculation on 3 December of each calendar year (the "Calculation Date"). LOP currently intends to notify affected customers on 4 December.
If the calculation or notification cannot take place on those dates, the dates shall be postponed accordingly. In all cases, the revised price applies only in accordance with the notice requirements of Section 5.8.7.
5.8.3 USD Reference Price and TRY Price for New Subscriptions
The "USD Reference Price" of a pricing component means the VAT-exclusive USD price of that component published on the Pricing page on the relevant date. Examples of pricing components are the base subscription charge and the per-seat charge for the applicable plan and billing cycle.
For a new subscription, the TRY price of each pricing component offered at checkout is calculated as:
TRY Component Price = USD Reference Price × Monthly FX Rate × (1 + applicable VAT rate)
The "Monthly FX Rate" means the most recent TCMB USD Foreign Exchange Selling Rate available on the 7th day of the relevant calendar month, rounded up to the nearest TRY 0.50. LOP updates the TRY prices offered to new subscribers after each monthly observation. The price shown at checkout is the price that applies to the subscription.
The TRY price accepted at checkout does not change from one billing period to the next. It changes only under this Section 5.8 or under Section 5.9.
5.8.4 December FX Benchmark
For the Annual Price Review, LOP will use the USD Foreign Exchange Selling Rate ("ABD Doları Döviz Satış Kuru") published by the Central Bank of the Republic of Türkiye ("TCMB").
The "December FX Benchmark" shall be the arithmetic average of the TCMB USD Foreign Exchange Selling Rates published on the five (5) most recent TCMB business days ending on or before the Calculation Date.
Only rates officially published by TCMB shall be used.
Weekends, public holidays, half-days or other dates on which TCMB does not publish a rate shall not count as TCMB business days for this calculation.
5.8.5 Revised TRY Price
For each TRY pricing component of an existing subscription, the revised price is calculated as:
Unrounded Revised Component Price = USD Reference Price of that component on the Calculation Date × December FX Benchmark × (1 + applicable VAT rate)
Where prices are displayed and charged to customers on a VAT-inclusive basis, the rounding mechanism described in this Section shall be applied to the VAT-inclusive amount actually displayed and payable by the customer.
The corresponding VAT-exclusive taxable base and VAT amount shall be derived from that final VAT-inclusive amount in accordance with applicable tax and invoicing rules.
Unless otherwise stated on the Pricing page, each applicable TRY pricing component shall be rounded downward to the nearest TRY 100.
Where a subscription plan consists of:
- a base subscription charge,
- a per-seat charge,
- an additional capacity charge, or
- other separately priced components
the calculation and rounding method in this Section shall be applied separately to each pricing component.
The revised amount of any individual pricing component shall never be lower than the price applicable to that same component immediately before the Annual Price Review.
Accordingly:
Revised Component Price = MAX (Existing Component Price, FLOOR(Unrounded Revised Component Price ÷ 100) × 100)
For the purposes of this provision, "FLOOR" means rounding the relevant amount down to the nearest whole number.
Where the Revised Component Price equals the Existing Component Price, that component is not changed by the Annual Price Review.
VAT and any other taxes, duties, levies and financial obligations required by applicable law shall be calculated and invoiced in accordance with the law in force on the relevant billing date.
5.8.6 Annual Price Reset Date
The Revised Component Prices calculated under this Section are scheduled to become applicable to existing subscriptions from 7 January of the following calendar year (the "Annual Price Reset Date").
With regard to the revised price, the following periods:
a) a billing period that has already commenced and been paid for,
b) a prepaid service period,
c) an active consumer commitment period during which a price change is prohibited by mandatory law
are not affected retrospectively.
For an existing subscriber, the revised price is not automatically charged on 7 January, the Annual Price Reset Date.
The new price applies only to a renewal:
a) occurring on or after 7 January;
b) for which the required advance-notice period has expired; and
c) at which the price change is legally and contractually applicable to that subscription.
It takes effect from the first renewal meeting these conditions.
For example, if a customer's monthly renewal occurs on 5 January, the 5 January renewal remains at the previously applicable price, and the revised price would ordinarily first apply to the following renewal. For an annual subscription, the revised price first applies at the first annual renewal occurring on or after the Annual Price Reset Date.
No Annual Price Review increase shall apply during an active consumer commitment period where such an increase is prohibited by mandatory law.
5.8.7 Price-Change Notice
LOP shall individually notify each subscriber whose price changes under the Annual Price Review of the revised price.
Notice:
a) by e-mail to the subscriber's registered e-mail address; and
b) through a persistent or readily accessible billing notice within the LOP account
shall be given through these channels.
The notice shall be sent at least thirty (30) days before the customer's first renewal at which the revised price will be charged.
LOP currently intends to send the annual price-change notice on 4 December for the 7 January Annual Price Reset Date.
The notice will state, at minimum:
a) the customer's current subscription price,
b) the revised price,
c) the USD Reference Price or Prices used,
d) the December FX Benchmark used,
e) the resulting percentage change,
f) the Annual Price Reset Date,
g) the customer's first expected renewal at the revised price,
h) whether the displayed amounts include or exclude VAT,
i) the customer's right and method to cancel or terminate the subscription before the revised price becomes applicable.
If the required advance-notice period cannot be satisfied for a particular renewal, the revised price shall not apply to that renewal.
It shall instead apply from the next renewal for which the required notice period has been satisfied.
5.8.8 Cancellation Following Annual Price Review
The revised price will apply from your next applicable renewal in accordance with the annual price-review mechanism agreed when you subscribed. You may cancel before that renewal.
No separate cancellation fee shall arise solely because a subscriber terminates the subscription before the revised price becomes applicable.
Where the consumer has separately and validly accepted an active Annual Commitment, lawful provisions governing early termination of that commitment remain applicable.
Cancellation shall be available through Settings → Billing.
For consumer subscriptions, termination must not be subject to conditions more onerous than the method used to enter into the subscription or conditions that unnecessarily hinder the consumer's exercise of the right to terminate.
5.8.9 Discontinuation or Material Change of the FX Rate
If TCMB permanently discontinues, renames, materially changes the calculation method of, or replaces the USD Foreign Exchange Selling Rate used in this Section with another official indicator, the following:
a) the official successor rate published by TCMB; or
b) a substantially equivalent official rate published by TCMB's lawful successor
may be used by LOP.
Where such a change affects the Annual Price Review calculation, the new reference used shall be expressly disclosed in the price-change notice sent to the subscriber.
This provision does not entitle LOP to select any rate that is not objective or that LOP determines unilaterally.
5.9 Commercial Price Revisions
5.9.1 Separate Commercial Review
The Annual Price Review under Section 5.8 addresses USD/TRY exchange-rate movement only.
Separately, LOP may change its underlying subscription list prices or pricing structure where justified reasons arise that materially and reasonably affect the cost, scope or economic structure of providing the Service.
Reasons that may be taken into account include, in particular:
a) material changes in cloud infrastructure, server, data-storage or computing-capacity costs,
b) material changes in artificial-intelligence services, API usage or third-party software costs,
c) licensing and intellectual-property usage costs,
d) payment-institution, bank, card-network or payment-processing costs,
e) product-development, maintenance or service-delivery costs,
f) customer-support, security and operational costs,
g) changes in taxes, duties, levies or financial obligations imposed by regulatory authorities,
h) material expansion or modification of the services, capacity, usage limits or functionality included in a subscription plan,
i) other material cost changes directly related to providing or maintaining the Service.
This Section does not give LOP an arbitrary, unrestricted or retrospective right to change subscription fees.
For consumers, this provision applies only to the extent permitted by mandatory consumer law.
No price increase shall apply during a period for which the price is fixed by law or contract.
5.9.2 Notice of Commercial Price Revision
LOP shall individually notify a subscriber affected by a Commercial Price Revision at least thirty (30) days before the new price first applies to that subscription.
Notice may be given by e-mail and in-app notification and shall include at least:
a) the existing subscription price,
b) the revised subscription price,
c) the effective date of the revised price,
d) the customer's first expected renewal at the revised price,
e) the general and reasonable basis for the Commercial Price Revision,
f) the customer's right and method to cancel or terminate the subscription before the revised price becomes applicable.
The revised price will apply from your next applicable renewal after the stated effective date and after the applicable notice period has expired. You may cancel before that renewal.
If the required advance-notice period has not been satisfied for a particular renewal, the revised price shall not apply to that renewal.
5.9.3 No Mid-Period Increase
A Commercial Price Revision will not increase the amount payable for a billing period that has already been paid.
A Commercial Price Revision will not be applied against a consumer during an active commitment period where such a change is prohibited by mandatory law.
For annual commercial or professional subscriptions, a properly notified Commercial Price Revision shall apply no earlier than the next annual renewal.
5.9.4 Interaction with Annual Price Review
Where an Annual Price Review under Section 5.8 and a Commercial Price Revision under this Section are scheduled to affect the same renewal, LOP will clearly disclose the final resulting price before that renewal.
Where reasonably practicable, the following:
a) the Annual Price Review arising from USD/TRY exchange-rate movement; and
b) the Commercial Price Revision
shall be shown separately in the notice.
No customer will be charged a price higher than the final price stated in the applicable advance notice for that renewal.
Mandatory provisions of law remain unaffected.
5.10 Immediate Commencement of Digital Service
LOP is an electronically supplied software service.
Following successful payment, paid features and the digital services included in the relevant subscription shall become immediately available to the subscriber unless expressly stated otherwise at checkout.
Where the purchaser qualifies as a consumer, the express request, consent and disclosures required by law for performance to commence before the statutory withdrawal period expires and for the applicable withdrawal exception to apply shall be obtained before payment is completed.
LOP shall not extinguish or restrict any mandatory rights that the consumer cannot lawfully waive.
06 Plan Limits
Each subscription tier includes specific usage limits documented at lop.tools/pricing. Limits include:
- Number of load plans you can create per billing period
- Number of containers and items per load plan
- Number of AI-powered analyses per month
- STEP/CAD file uploads
- Number of seats (Business and Enterprise tiers)
- Export volume
We may modify plan limits with at least 30 days notice via email. If a modification reduces your usage allowance, the change takes effect at the start of your next billing period.
Free tier limits are enforced strictly. Exceeding free tier limits requires upgrading to a paid plan or waiting until the next billing period.

- Optimization suggestions based on your specific cargo and constraints
AI features send relevant plan information or import samples to Anthropic. Samples and text you provide may contain personal or business information.
9.2 Anthropic's Data Handling
Amber Makina operates under Anthropic's Commercial API terms. Under these terms:
- Retention: Anthropic stores API inputs and outputs for a limited period (currently up to 7 days), then permanently deletes them, in accordance with Anthropic's then-current Commercial Terms.
- No model training: Your data is never used to train Anthropic's AI models.
- Encryption: Data is encrypted in transit and at rest within Anthropic's infrastructure.
For complete details, see Anthropic's Commercial Terms at anthropic.com/legal/commercial-terms.
9.3 AI Features Are Optional
You can use the Service without any AI features.
9.4 AI Suggestions Are Advisory
AI-generated analyses, suggestions, and recommendations are advisory only. You retain full responsibility for:
- Final loading decisions
- Compliance with safety regulations applicable to your cargo
- Verification of AI-generated outputs against your own expertise and operational requirements
- Any consequences of acting on AI recommendations
LOP and Amber Makina are not liable for losses resulting from reliance on AI suggestions. Use AI features as a tool to augment your judgment, not replace it.

You may not use our trademarks in a way that suggests endorsement, affiliation, or partnership without explicit authorization.
10.3 Feedback
If you provide feedback, suggestions, or ideas for improving the Service, you grant Amber Makina a perpetual, irrevocable, royalty-free license to use that feedback to improve the Service. We may incorporate your feedback into future versions of the Service without obligation to credit or compensate you.
This does not affect your ownership of any data you upload to the Service (see Section 7).

12.3 Safety-Critical Use
The Service is designed as a planning and optimization tool. It is not designed for safety-critical applications without independent verification. If you use the Service for cargo that requires regulatory compliance (hazardous materials, medical supplies, food products under cold chain requirements, etc.), you remain responsible for:
- Verifying outputs against applicable regulations
- Conducting independent safety assessments
- Maintaining required documentation and certifications
- Ensuring competent human supervision of loading operations
13 Limitation of Liability
To the maximum extent permitted by law, LOP and Amber Makina are not liable for indirect or consequential losses, loss of profit, loss of data, or business interruption arising from use of the Service, and our total aggregate liability for direct damages shall not exceed the fees you paid in the twelve (12) months preceding the event giving rise to liability. Load plans are decision-support outputs; verifying compliance with applicable transport, safety and packing regulations remains your responsibility. Nothing in these Terms excludes or limits liability for death or personal injury, for intent or gross negligence, or for fraud, nor any liability that cannot be excluded or limited under mandatory law. In any event, the foregoing cap shall not be less than one hundred US dollars (USD 100). Your indemnification obligations under these Terms are not subject to the foregoing cap.
14 Indemnification
You agree to indemnify, defend, and hold harmless Amber Makina, its officers, directors, employees, agents, and affiliates from and against any claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use or misuse of the Service in violation of these Terms
- Your violation of any applicable law or regulation
- Your violation of any third-party rights, including intellectual property, privacy, or contractual rights
- Inaccurate, misleading, or unauthorized data or files you upload to the Service
- Your business operations or loading decisions, including any decisions made based on outputs from the Service
We will provide you with reasonable notice of any claim, allow you to participate in the defense, and not settle any claim affecting your rights without your consent (which shall not be unreasonably withheld).
