Distance Sales Contract.

01 Parties and Subject

This Distance Sales Contract (the "Contract") is concluded under Law No. 6502 on Consumer Protection and the Distance Contracts Regulation (Mesafeli Sözleşmeler Yönetmeliği) between the SELLER identified below and the BUYER who electronically orders a subscription (a digital service) through app.lop.tools, on the terms set out below.

The subject of this Contract is the provision of the digital software subscription purchased electronically by the BUYER through the SELLER's LOP platform — its characteristics and price as set out below — and the determination of the parties' rights and obligations under Law No. 6502 and the Distance Contracts Regulation.

By accepting this Contract, the BUYER acknowledges and agrees in advance that, upon confirming the order, they undertake to pay the subscription fee and any applicable taxes, and that they have been informed accordingly.

LOP is the provision of a cloud-based software service (SaaS) by subscription, not a physical product. This Contract, together with the SELLER's Terms of Service and Privacy Policy, forms a single integrated agreement; the details of subscription, billing, renewal, and termination are set out in the Terms of Service.

02 Definitions

• LAW: Law No. 6502 on Consumer Protection;
• REGULATION: the Distance Contracts Regulation;
• SELLER: Amber Makina, identified below;
• BUYER: the natural or legal person purchasing a subscription through the LOP platform;
• PLATFORM / SERVICE: the LOP load-planning software provided at app.lop.tools;
• SUBSCRIPTION: the right to access the Service for a defined period under the plan selected by the BUYER;
• PARTIES: the SELLER and the BUYER.

04 Buyer Information

The BUYER's name/title, address, email, and account details are those entered by the BUYER at the time of order and held in the LOP account. Invoices are issued electronically according to the billing details specified in the BUYER's account.

05 Service, Price, and Payment

5.1. The essential characteristics of the Service and the scope of subscription plans (including plan limits) are published at lop.tools/pricing. Listed and published prices are the valid sale prices until updated.

5.2. Prices are in US Dollars (USD). Local taxes (VAT/KDV, etc.) are additional where applicable and are calculated at checkout based on the BUYER's billing address.

5.3. Payments are collected electronically through the SELLER's payment processor, iyzico. Currency conversion to Turkish Lira (TRY) occurs at iyzico's published rates. Credit card numbers and other sensitive payment data are not stored on the SELLER's servers; they are processed directly by the payment processor under its own security policies.

5.4. Billing cycles, auto-renewal, plan changes, and failed-payment handling are governed by Terms of Service §5. The BUYER authorizes the subscription fee to be charged to the selected payment method on each renewal; the BUYER is notified by email before renewal and may cancel via Settings → Billing.

06 Delivery and Returns

6.1. Delivery

The Service is a digital software service, not a physically delivered product. Upon confirmation of payment, the BUYER's subscription is activated immediately, and the BUYER gains access to the features of the purchased plan through app.lop.tools. There is no physical shipment, carrier, or delivery time, and no shipping fee is charged.

6.2. Returns and Refunds

Because the Service is a subscription, "returns" are governed by the refund terms set out in Terms of Service §5.5:

• Annual subscriptions: Upon cancellation, a pro-rated refund is provided for the unused months from the cancellation date to the end of the prepaid period.
• Monthly subscriptions: No refund is provided for the current billing period; cancellation takes effect at the end of the current period.
• Refunds are processed within 5–10 business days after approval. For any billing matter, contact billing@lop.tools.

07 Right of Withdrawal

7.1. Under Article 15 of the Distance Contracts Regulation, there is no right of withdrawal for services performed immediately in the electronic environment and for non-physical (digital content) goods supplied immediately to the consumer. Because the LOP subscription is a digital service that is activated and begins performance immediately upon confirmation of payment, the BUYER accepts that the 14-day right of withdrawal does not apply.

7.2. By paying the subscription fee, the BUYER requests and consents to the immediate commencement of performance of the Service.

7.3. Nonetheless, as a commercial practice, the SELLER offers the BUYER the cancellation and pro-rated refund options set out in Article 6.2 of this Contract and in Terms of Service §5.5. These options do not limit any statutory rights the BUYER may have.

7.4. Where the BUYER is a consumer, mandatory rights arising under the LAW and the REGULATION are reserved.

08 Default

Where the BUYER pays by credit card and falls into default, the BUYER agrees to pay interest and be liable to the bank under the agreement between the cardholder and their bank. The process applicable to failed payments is governed by Terms of Service §5.7.

09 Dispute Resolution and Competent Court

9.1. This Contract is governed by the laws of the Republic of Türkiye.

9.2. Where the BUYER is a consumer, Consumer Arbitration Committees (at the BUYER's or SELLER's place of residence) have jurisdiction up to the value announced by the Ministry of Trade, and Consumer Courts above that value.

9.3. Where the BUYER is not a consumer (commercial/professional purpose), the courts and enforcement offices of Ankara have jurisdiction per Terms of Service §17.

10 Effect

When the BUYER completes payment for the subscription order placed through the Platform, the BUYER declares that they have read, understood, and accepted all terms of this Contract. The Contract takes effect at the moment payment is confirmed.
